According to data from PT Kustodian Sentral Efek Indonesia (KSEI), Caraka Reksa Optima divested 2,236,300 PTRO shares on November 25, 2025. This transaction led to a decrease in Caraka Reksa Optima’s stake from 2,652,440,970 shares, or 26.30%, recorded on November 24, 2025, to 2,650,204,670 shares, equivalent to 26.28% of the total shares.
Caraka Reksa Optima holds the position of PTRO’s second-largest shareholder, trailing only PT Kreasi Jasa Persada. As per the shareholder registration report at the end of October 2025, Kreasi Jasa Persada maintains a significant 4,571,811,700 shares, representing 45.32% ownership. Public ownership of PTRO shares currently stands at 27.26%.
This recent divestment follows a more substantial sale earlier in August, when Caraka Reksa Optima also offloaded 240.86 million PTRO shares. Explaining the rationale behind these transactions, PTRO Corporate Secretary Anto Broto stated that the share release by Caraka Reksa Optima was aimed at increasing the free float of shares circulating in the market.
“The purpose of the transaction is to increase the shares circulating in the public or the free float of shares in the market,” Anto conveyed, as quoted on Thursday, August 14, 2025. This strategic move is intended to enhance market liquidity and potentially attract broader investor participation in Petrosea Tbk.
Delving into the details of the August sale, Caraka Reksa Optima sold precisely 240,868,400 shares. Consequently, the company’s ownership in PTRO was adjusted to 2,740,634,970 shares from the previous 2,981,503,570. This reduction also saw its percentage of voting rights decrease to 27.17% from an earlier 29.56%.
These August share sales were executed at an average price of Rp2,968.82 per share, generating approximately Rp715.09 billion for Caraka Reksa Optima. The divestment actions took place across several dates: August 8, August 12, and August 13, 2025.
Bisnis records reveal that Caraka Reksa Optima is closely affiliated with conglomerate Haji Romo Nitiyudo Wachjo, widely known as Haji Robert. Initially, Haji Robert held a substantial 89.8% stake in Caraka Reksa Optima. However, a significant shift in the shareholder composition occurred on May 31, 2023.
Following this change, the shareholder structure of Caraka Reksa Optima was reconfigured as follows: Haji Robert now holds 39.77%, PT Dua Usaha Karya Negeri 13.56%, PT Sentosa Bersama Mitra 27%, PT Sarana Adiwilaga Persada 16.95%, and PT Khazanah Kinarya Bersama 2.72%.
Notably, PT Sentosa Bersama Mitra is known to hold 32.62% of the shares in PT Rukun Raharja Tbk. (RAJA). This company is owned by Happy Hapsoro, who also directly controls 28.23% of RAJA’s shares, further highlighting a complex web of affiliations within these corporate entities.
