JAKARTA – PT Wahana Konstruksi Mandiri (WKM) has made a significant move in the construction sector, investing Rp43.12 billion to acquire a controlling stake of 62.72% in PT Asri Karya Lestari Tbk. The acquisition details were officially disclosed on Monday, January 20, 2026. Peter Handika, Director of Wahana Konstruksi Mandiri, confirmed that the transaction was executed based on Share Sale and Purchase Agreement Number 12, dated January 15, 2026. Under this agreement, WKM secured 3,920,000,000 (3.92 billion) shares, representing the decisive 62.72% ownership of ASLI, previously held by Sudjatmiko. The share transfer was conducted through a crossing mechanism on the Indonesia Stock Exchange (BEI) on Monday, January 19, 2026, with shares traded at Rp11 each, bringing the total transaction value to Rp43.12 billion.

With the completion of this transaction, WKM officially assumes the role of ASLI’s new controlling shareholder. In line with regulatory requirements, specifically POJK 9/2018, WKM is now mandated to undertake a Mandatory Tender Offer (MTO) for the remaining ASLI shares held by public shareholders. Handika articulated the rationale behind this strategic acquisition, stating, “The purpose and background of this acquisition are for business development, as WKM is also a company engaged in the construction sector. This acquisition is anticipated to foster a positive collaboration between ASLI’s established experience and WKM’s capabilities within the construction industry.”

The beneficial owner of WKM is Hariono, a prominent figure whose diverse portfolio includes several companies linked to the extensive business network of H. Andi Syamsuddin Arsyad, widely known as Haji Isam, such as PT Jhonlin Agro Raya Tbk. (JARR).
